1. Agreement to Terms

By accessing or using OrgCanvas (the "Service"), you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you do not have permission to access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. We may update these Terms from time to time. We will notify you of any changes by posting the new Terms on this page and updating the "Last updated" date.

2. Description of Service

OrgCanvas is a web-based application that allows users to:

• Create and edit organization charts
• Import team data from CSV files
• Share org charts via links
• Export org charts to various formats (PNG, PDF)
• Store org charts in the cloud

The Service is provided by Hivetivity, Inc. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. User Accounts

To access certain features of the Service, you may be required to create an account. You may register using your Google account or other authentication methods we support.

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

You must provide accurate, current, and complete information during registration and keep your account information updated.

4. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Use automated means to access the Service without our permission
• Collect or harvest user data without consent
• Impersonate any person or entity

5. User Content

You retain ownership of any content you create or upload to the Service ("User Content"), including org charts, team data, and associated information.

By uploading User Content, you grant us a limited license to store, display, and process your content solely for the purpose of providing the Service to you.

You are solely responsible for your User Content and represent that:

• You have the right to upload and share such content
• Your content does not violate the rights of any third party
• Your content complies with these Terms and applicable laws

6. Intellectual Property

The Service and its original content (excluding User Content), features, and functionality are and will remain the exclusive property of Hivetivity, Inc. and its licensors.

Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

7. Free and Paid Services

OrgCanvas offers both free and paid tiers:

• Free tier: All features unlocked, up to 10 people per org chart, 1 canvas
• Pro tier: Unlimited people, advanced export options, and premium features

Pricing and features are subject to change. We will provide notice of any material changes to paid services.

8. Payment Terms

If you purchase a paid subscription:

• You agree to pay all applicable fees
• Fees are non-refundable except as required by law or as stated in our refund policy
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings

9. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• You may lose access to your User Content
• We may delete your data in accordance with our data retention policies

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• The results from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HIVETIVITY, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless Hivetivity, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your User Content

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Fulton County, Georgia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, providing additional notice (such as an email notification).

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

15. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.
